Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your access to and use of the VINE AI services, websites, applications, and related offerings (collectively, the "Services") provided by NewVine Employment Group, LLC and its parent companies, subsidiaries, affiliated entities, entities under common control, successors, and assigns (collectively, "VINE AI," "VINE," "Company," "we," "us").
This AUP is incorporated into and forms part of the VINE AI Master Service Agreement (the "Terms"). Capitalized terms not defined here have the meanings in the Terms. If there is a conflict between this AUP and the Terms, the Terms control.
By clicking "Subscribe," "I agree," "continue," creating an account, logging into the Services, or using the Services, you agree to this AUP.
Purpose
VINE AI is designed to support recruiting and talent pipeline activities for internal business use. This AUP is intended to protect VINE AI, Clients, candidates, and third parties from misuse, fraud, abuse, and legal or policy violations.
General Requirements
You agree to:
- (a) use the Services only for lawful, legitimate internal business purposes;
- (b) comply with applicable laws, regulations, and industry standards;
- (c) comply with third-party platform rules and policies (including email providers and social platforms);
- (d) maintain the security of your accounts, access credentials, devices, and systems;
- (e) ensure you have appropriate rights, notices, and permissions for any data you provide to the Services;
- (f) ensure outreach and recruiting communications are professional, non-deceptive, and include legally required disclosures and opt-out mechanisms where applicable.
Prohibited Activities
You may not, directly or indirectly, use the Services to:
3.1 Unlawful or Harmful Conduct
- violate any law or regulation (including privacy, data protection, employment, consumer protection, and anti-harassment laws);
- facilitate or promote discrimination, harassment, intimidation, threats, or abusive conduct;
- engage in or encourage illegal hiring practices or unlawful decision-making.
3.2 Spam, Deceptive Outreach, or Improper Communications
- send or facilitate spam, unsolicited bulk messaging, or deceptive communications;
- violate anti-spam or marketing laws (including rules governing consent, opt-out, identity transparency, and content requirements);
- misrepresent your identity, affiliation, intent, role, or the nature of communications;
- use the Services for list brokering, lead selling, reselling contact data, or renting lists;
- send outreach designed to evade recipient consent requirements, spam filters, or platform enforcement.
3.3 Data Misuse, Unauthorized Collection, or Privacy Violations
- collect, scrape, harvest, or extract personal data or platform data in violation of applicable law or third-party terms;
- use the Services to obtain, store, or distribute sensitive personal information without a lawful basis;
- use the Services to surveil individuals, track them improperly, or profile them unlawfully;
- collect or use personal data without appropriate notice and permission where required;
- upload or process personal data you do not have the legal right to use.
3.4 Security Abuse, System Interference, or Malicious Activity
- probe, scan, or test the vulnerability of any system or network related to the Services;
- bypass or attempt to bypass security measures, authentication, or access controls;
- introduce malware, ransomware, spyware, or other malicious code;
- interfere with or disrupt the Services, platform integrations, networks, or systems;
- attempt to access accounts, data, or systems you are not authorized to access.
3.5 Intellectual Property and Competitive Misuse
- reverse engineer, decompile, disassemble, or attempt to discover the source code, automation logic, prompts, or underlying structure of the Services;
- copy, reproduce, or create derivative works of the Services except as expressly allowed;
- build a competitive product or service using the Services, Deliverables, or Outputs;
- scrape or systematically collect content or Outputs from the Services for reuse outside your internal business purposes.
3.6 AI/Model Training Restrictions
- use Deliverables, Outputs, or data derived from the Services to create, train, test, or improve any machine learning or AI system without Company's prior written consent.
3.7 Fraud, Misrepresentation, and Improper Use
- engage in fraudulent activity, including payment fraud, identity fraud, or impersonation;
- use stolen credentials, unauthorized accounts, or misappropriate access;
- use the Services in a manner intended to evade platform enforcement, bypass rate limits, or violate third-party platform policies;
- falsify, manipulate, or conceal routing, identity, domains, sender reputation data, or technical settings to mislead recipients or providers.
3.8 High-Risk or Restricted Content and Activities
You may not use the Services in connection with:
- illegal, exploitative, or abusive activity;
- pornography involving minors, sexual exploitation, or trafficking;
- threats of violence or encouragement of harm;
- instructions or conduct intended to facilitate wrongdoing (including hacking, malware distribution, or scams).
Candidate and Employment-Related Standards
If you use the Services for recruiting or hiring, you agree to:
- (a) use the Services consistent with lawful recruiting practices;
- (b) avoid discriminatory or biased decision-making;
- (c) evaluate candidates using your own judgment and comply with applicable employment laws;
- (d) refrain from requesting or using prohibited information in ways that violate applicable law;
- (e) provide candidates with appropriate disclosures and honor opt-out requests when required by law or platform rules;
- (f) maintain appropriate internal policies governing recruiting communications and data handling.
VINE AI does not make hiring decisions and does not provide legal advice. You are solely responsible for compliance in connection with hiring decisions and employment actions.
Usage Limits, Platform Policies, and Deliverability
The Services may rely on third-party platforms (including email, social platforms, CRMs, and ATS providers). You are responsible for complying with their terms and usage policies. Platform limitations (including rate limits, deliverability, throttling, and enforcement actions) may affect performance.
You agree not to use the Services in a manner that is likely to trigger platform complaints, blacklisting, reputation damage, or enforcement actions, including excessive sending volume, poor list hygiene, deceptive messaging, or failure to honor unsubscribe/opt-out requests.
Monitoring, Enforcement, and Remedies
Company may investigate suspected violations of this AUP or the Terms. Company may take any action it deems appropriate, including:
- (a) warning you or requesting corrective action;
- (b) disabling features, limits, or integrations;
- (c) suspending or terminating access to the Services;
- (d) removing or restricting content or data; and/or
- (e) pursuing legal remedies.
Company may act without notice where necessary to protect the Services, Company, Clients, candidates, or third parties. Where feasible, Company will provide notice and an opportunity to cure, but Company is not required to do so.

Updates to This Policy
Company may update this AUP from time to time by posting an updated version at its published URL and updating the "Last Updated / Effective Date." Continued use of the Services after the effective date means you accept the updated AUP.
